Terms of Service

These Terms of Service govern the business relationship between AT-ST GmbH and our customers for all services in the areas of automation, AI, and software development.

Scope of Services

AT-ST GmbH provides the following services:

• Process automation and RPA implementation (UiPath)
• AI document solutions and LLM integration
• Process improvement and process mining
• Custom software development
• Consulting and training

Contract Formation

Contracts are formed through written order confirmation or project agreement. Verbal commitments require written confirmation. Changes to the scope of work are documented by mutual agreement.

Project Execution

Project execution is carried out in close coordination with the customer and includes:

• Remote development as standard procedure
• On-site appointments for workshops and training as needed
• Agile project methods with regular coordination
• Comprehensive documentation and knowledge transfer

Payment Terms

Our payment terms are based on the agreed engagement model:

• Time & Materials: Billing according to actual effort
• Fixed Price: Payment according to agreed milestones
• Invoicing monthly or according to project progress
• In case of payment default, we reserve the right to charge default interest

Intellectual Property

All rights to developed solutions transfer to the customer after full payment, unless otherwise agreed. AT-ST retains rights to used frameworks, libraries, and general methodologies.

Confidentiality

AT-ST commits to confidentiality of all customer data and business information. Both parties treat all information received in the project confidentially and use it exclusively for contract fulfillment.

Liability

AT-ST's liability is limited as follows:

• Unlimited liability for intent and gross negligence
• Liability for personal injury and breach of essential contractual obligations
• Liability for simple negligence limited to the amount of the contract value
• Customers are responsible for backing up their own data

Termination

Contracts can be terminated by both parties with reasonable notice. For Time & Materials projects, termination is possible at the end of the month with 4 weeks' notice. Services already provided will be compensated proportionally.

Applicable Law

German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. Place of jurisdiction is Bad Homburg v. d. Höhe. Should individual provisions be invalid, the validity of the remaining provisions remains unaffected.
